This Platform is operated by Apex Intelligence Group (PTY) Ltd (“the Company”, “we”, “us”, “our”), a private company incorporated under the laws of the Republic of South Africa. The Company is a separate legal entity from its shareholders, directors and employees. No individual associated with Apex Intelligence Group (PTY) Ltd bears personal liability for the obligations, debts or liabilities of the Company. By using BioLearn SA (“the Platform”), you agree to contract solely with the Company and not with any individual.

By accessing or using the Platform, you confirm that you have read, understood and agree to be bound by these Terms and Conditions, our Privacy Policy, Refund Policy, and Acceptable Use Policy. If you do not agree to any part of these terms, you must immediately cease using the Platform.

BioLearn SA is an AI-integrated technology and software-as-a-service (SaaS) platform that provides educational support tools to South African students studying Life Sciences (Grades 10–12). The Platform provides software licensing access to interactive tools including quizzes, an AI assistant, study resources, and analytics dashboards. The Company is a technology services provider and is not a registered educational institution, school, tutor or teacher.

Users must be at least 13 years old. Users under 18 require verifiable parental or guardian consent. By registering, you warrant that all information provided is accurate, current and complete, and that you have the legal capacity to enter into a binding agreement.

Access to premium features of the Platform is granted via a limited, non-exclusive, non-transferable software licence billed monthly via Lemon Squeezy. Subscription fees constitute payment for a software licence, not for educational services or tuition. All prices are in South African Rand (ZAR) and include VAT where applicable. Licences auto-renew monthly unless cancelled. The Company reserves the right to modify pricing with 30 days’ notice.

All Platform content - including software, code, question banks, explanations, graphics, branding and AI-generated outputs produced on the Platform - is the exclusive intellectual property of Apex Intelligence Group (PTY) Ltd. No content may be reproduced, distributed, sold, sublicensed or used commercially without express written permission. Personal study use is permitted. Unauthorised use constitutes an infringement of the Company’s IP rights under the Copyright Act 98 of 1978 (as amended).

The AI Tutor is powered by third-party large language model technology. It is provided as a study assistance tool only. The Company makes no representations or warranties regarding the accuracy, completeness or fitness for purpose of AI-generated content. Users should always verify information against official CAPS curriculum materials. The Company, its directors and employees accept no liability for any academic outcome arising from reliance on AI-generated responses.

To the fullest extent permitted by South African law: (a) the Company’s total aggregate liability to you for any cause whatsoever shall not exceed the total subscription fees paid by you in the 30 days immediately preceding the claim; (b) the Company shall not be liable for any indirect, consequential, incidental, special or punitive damages; (c) the Company shall not be liable for loss of data, loss of revenue, loss of opportunity or any academic outcome; (d) no director, shareholder, officer, employee or agent of the Company shall bear personal liability of any kind for the Platform’s performance or any claim arising from its use.

You agree to indemnify, defend and hold harmless Apex Intelligence Group (PTY) Ltd and its directors, shareholders, officers, employees, agents and licensors from and against any and all claims, damages, losses, costs and expenses (including reasonable legal fees) arising from: (a) your use or misuse of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit to the Platform.

The Company shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, internet or server outages, power failures, cyberattacks, third-party service failures (including Supabase, Lemon Squeezy or Anthropic), government actions, pandemics, civil unrest or any other force majeure event.

The Platform is provided “as is” and “as available” without any warranty of any kind, express or implied. The Company does not warrant that the Platform will be uninterrupted, error-free, secure or free of viruses. The Company expressly disclaims all implied warranties of merchantability, fitness for a particular purpose and non-infringement.

In the event of any dispute, the parties agree to first attempt to resolve the matter amicably within 30 days of written notice. If unresolved, the dispute shall be referred to binding arbitration in accordance with the Arbitration Foundation of South Africa (AFSA) rules, before a single arbitrator agreed upon by the parties. The seat of arbitration shall be Durban, KwaZulu-Natal. Arbitration proceedings shall be conducted in English. The arbitrator’s award shall be final and binding. Nothing in this clause prevents either party from seeking urgent interdict relief from a competent court.

These Terms are governed exclusively by the laws of the Republic of South Africa. Subject to the arbitration clause, the parties consent to the non-exclusive jurisdiction of the High Court of South Africa, KwaZulu-Natal Division.

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

These Terms, together with the Privacy Policy, Refund Policy, Acceptable Use Policy and Cookie Policy, constitute the entire agreement between you and the Company regarding the Platform and supersede all prior agreements.

Apex Intelligence Group (PTY) Ltd is the responsible party for your personal information as defined under the Protection of Personal Information Act 4 of 2013 (POPIA). We are committed to processing your personal information lawfully, minimally, and for the purposes stated herein. This Privacy Policy applies to all users of the BioLearn SA Platform.

• Account data: name, email address, grade level, subscription plan, account creation date.
• Usage data: quiz scores, topics studied, AI tutor sessions, streaks, token usage, login timestamps, progress analytics.
• Payment data: processed exclusively by Lemon Squeezy — we receive only transaction status and subscription tier. We never store card numbers or banking details.
• Technical data: browser type, device type, operating system, IP address, approximate location (country/city level), session duration.
• Communications: emails you send to our support address.

• Providing, operating and improving the Platform.
• Personalising your learning experience and displaying progress analytics.
• Processing subscription payments and managing your account.
• Sending transactional emails (account confirmation, password reset, receipts).
• Aggregated, anonymised analytics to improve Platform performance.
• Complying with legal obligations under South African law.
• Fraud prevention and Platform security.

We process your personal information on the following grounds: (a) contractual necessity — to perform our obligations under your subscription agreement; (b) legitimate interests — to improve the Platform, prevent fraud and ensure security; (c) legal obligation — where required by South African law; and (d) consent — where you have opted in (e.g. marketing emails, cookies).

Your data is stored on Supabase infrastructure with encryption in transit (TLS/HTTPS) and at rest (AES-256). Data may be stored on servers outside South Africa. We have ensured contractual protections are in place with all offshore processors. We implement role-based access controls, and no employee can access your payment data. In the event of a data breach affecting your rights, we will notify you within 72 hours as required by POPIA.

• Anthropic: AI Tutor functionality (your queries may be processed by Anthropic’s systems).

We do not sell, rent or trade your personal information to any third party for marketing purposes.

• Deletion: request deletion of your account and associated data.

We retain your personal information for as long as your account is active or as necessary to provide services. Upon account deletion, your data is removed within 30 days, except where we are legally required to retain it (e.g. financial records for SARS compliance, retained for 5 years).

The Platform is not directed at children under 13. We do not knowingly collect personal information from children under 13 without verifiable parental consent. If you believe a child under 13 has registered without consent, contact biolearnsupport@gmail.com immediately and we will delete the account.

We will only send you marketing or promotional emails with your explicit consent. You may unsubscribe at any time by clicking the unsubscribe link in any email or by contacting biolearnsupport@gmail.com. Transactional emails (receipts, account notices) cannot be opted out of while your account is active.

We may update this Privacy Policy periodically. Material changes will be communicated via in-app notice or email. Continued use of the Platform after changes constitutes acceptance.

BioLearn SA offers monthly software licence subscriptions: Pro at R56/month and Premium at R114/month, billed via Lemon Squeezy. By subscribing, you agree to the terms of this Refund and Cancellation Policy. Subscription fees are for software licence access and are not tuition or educational fees.

You may cancel your subscription at any time via your account settings or by emailing biolearnsupport@gmail.com. Cancellations take effect at the end of the current billing cycle. You retain access to paid features until that date. No proration or partial refunds are issued for unused days.

First-time subscribers are entitled to a full refund within 7 days of the initial charge if not satisfied. To claim, email biolearnsupport@gmail.com within the 7-day window. This guarantee applies once per user and does not apply to subsequent renewals.

• First subscription payment, requested within 7 days.
• Proven duplicate or erroneous charge.
• Platform completely inaccessible for more than 72 consecutive hours due to our verified error.

• Monthly renewal charges after the first billing cycle.
• Partial use of a subscription period.
• Accounts suspended or terminated for Terms violations.
• Refund requests made outside the 7-day window.
• Dissatisfaction with AI-generated content (covered under the AI Disclaimer).

3. Resolution within 5–7 business days.
4. Approved refunds are returned to your original payment method via Lemon Squeezy within 5–10 business days.
5. If you have not received a response within 7 business days, reply to your original email at biolearnsupport@gmail.com and your case will be escalated internally for priority review.

This Acceptable Use Policy (“AUP”) governs how you may interact with BioLearn SA. It protects the Platform, its infrastructure, and the experience of all users. This AUP forms part of the binding Terms and Conditions.

• Personal, non-commercial educational use for the purpose of studying Life Sciences.
• Using the AI Tutor for study assistance, concept clarification and exam preparation.
• Accessing quiz, notes and flashcard features within your subscription tier.
• Tracking your own academic progress.

• Sharing, selling or transferring account credentials to any other person.
• Using the Platform for commercial purposes (e.g. reselling access, tutoring businesses).
• Using AI Tutor responses as your own submitted schoolwork or for academic dishonesty.
• Scraping, crawling, copying or systematically downloading Platform content.
• Attempting to reverse-engineer, decompile or copy the Platform’s source code.
• Probing for security vulnerabilities or attempting to gain unauthorised access.
• Using automated bots, scripts or tools to interact with the Platform.
• Circumventing token limits, subscription tiers or access controls.
• Uploading or transmitting any malicious code, spam or harmful content.
• Impersonating another user, company or individual.

BioLearn SA is a study support tool. The AI Tutor is designed to explain and guide, not to produce work to be submitted as your own. Passing off AI-generated content as your own in school assessments may violate your school’s academic integrity policy and South African assessment regulations. The Company accepts no responsibility for any academic disciplinary outcome resulting from misuse of the AI Tutor.

To ensure fair access for all users on a high-traffic platform, we implement rate limiting and token quotas. Attempts to circumvent these controls (e.g. using multiple accounts to accumulate free tokens) constitute a material breach of this AUP and will result in immediate account termination without refund.

Violation of this AUP may result in: (a) immediate account suspension or permanent termination without refund; (b) recovery of damages suffered by the Company; (c) reporting to relevant authorities where conduct is unlawful. The Company’s decision on AUP violations is final.

Cookies are small data files stored on your device. BioLearn SA primarily uses browser localStorage and session storage rather than traditional cookies. For the purposes of this policy, all such client-side storage mechanisms are referred to collectively as “storage technologies”.

• Authentication session (Supabase) — keeps you logged in between sessions. Essential — cannot be disabled.
• Quiz scores & progress (biolearn_scores) — stores your last 100 quiz results locally for instant chart rendering without a server call. Functional.
• User preferences — grade selection, theme, last visited page. Functional.
• Token balance cache — reduces unnecessary API calls. Performance.

• Supabase — sets a JWT authentication token in localStorage. Governed by Supabase’s privacy policy.
• Lemon Squeezy — may set session cookies during the payment flow. Governed by Lemon Squeezy’s privacy policy.
• Netlify — may set performance and analytics cookies at the CDN level. Governed by Netlify’s privacy policy.

• Third-party advertising or tracking cookies.
• Cross-site tracking pixels or beacons.
• Social media tracking cookies.
• Fingerprinting technologies.

BioLearn SA is ad-free. No storage technology is used for advertising profiling.

As a high-traffic SaaS platform, we utilise Netlify’s CDN caching and edge network to serve the Platform globally with low latency. CDN-level caching does not involve personally identifiable information. Aggregate, anonymised traffic analytics may be collected by Netlify for performance monitoring.

You may clear localStorage and cookies at any time through your browser settings. Note that clearing authentication storage will log you out. Essential storage cannot be disabled without breaking core Platform functionality. As we do not use advertising cookies, no cookie consent banner is required for our own storage. Third-party processors (Lemon Squeezy, Supabase) are governed by their own consent mechanisms.

Our storage practices are designed to comply with both POPIA and, to the extent applicable to South African users accessing the Platform, the principles of the EU General Data Protection Regulation (GDPR). We apply the most protective standard where both may apply.
